Reviewing the 2022 Meetings and Documents Amendments
The Corporations Act was temporarily amended in 2021 and permanently amended in 2022 to allow businesses to use hybrid and virtual methods.
Can you believe that before this, clubs had to send AGM notices by mail and could only hold in-person meetings?
The Australian Government has appointed an independent panel to review these changes to ensure they really help businesses. Clubs can read more here.
ClubsNSW, through Clubs Australia, prepared a submission highlighting our support for continuing these measures. These changes have increased participation while promoting efficiency and good governance.
However, in our discussions with clubs, we've discovered that many have faced challenges, and we aimed to address these in our response. Some clubs have struggled to host hybrid meetings, while others are uncertain about their obligations if they receive a bounce-back when sending meeting notices.
We made the following recommendations for the panel’s consideration:
- Amending the Act so that clubs are not required to update their Constitution to permit virtual-only member meetings.
- Clarifying that clubs aren’t required to resend meeting notices to an alternate location upon receiving an undelivered mail notification.
- The Australian Government consider opportunities to address clubs' challenges when hosting hybrid member meetings.
Clubs Australia also participated in a roundtable with other member organisations hosted by Treasury to give feedback on these changes.
